End User License Agreement (EULA)

1. License Grant and Scope

Subject to your strict compliance with this Agreement, Gathr grants you a revocable, non-exclusive, non-transferable, non-sublicensable, limited license to:

• Download, install, and execute the Application on personal mobile devices or computers owned or controlled by you; and
• Access and use the features and services made available through the Application solely for personal, non-commercial, and lawful community-building purposes.

This license does not convey any ownership rights, title, or interest in or to the Application, software code, branding, or any intellectual property rights owned by Gathr or its licensors.

2. License Restrictions

You agree that you will not, directly or indirectly:

• Copy, modify, adapt, translate, enhance, or create derivative works of the Application or any portion thereof;
• Reverse engineer, decompile, disassemble, or attempt to derive or gain access to the source code of the Application;
• Rent, lease, lend, sell, sublicense, assign, distribute, publish, or otherwise make the Application available to any third party;
• Bypass, breach, or disable any copy protection, security device, or feature integrated into the Application;
• Use the Application to transmit viruses, malware, trojans, worms, or other malicious or harmful code;
• Use automated scripts, bots, spiders, or scraping tools to harvest data or content from the Service without our prior written authorization; or
• Use the Application for any unlawful, deceptive, fraudulent, or unauthorized commercial purpose.

3. App Store Terms (Apple iOS and Google Play)

If you download the Application from the Apple App Store or Google Play Store, the following supplemental terms apply:

• Apple App Store: You acknowledge that this Agreement is concluded between you and Gathr only, and not with Apple Inc. (“Apple”). Gathr, not Apple, is solely responsible for the Application and its content. Your license to use the Application on iOS is limited to Apple-branded devices that you own or control, subject to the Usage Rules set forth in the Apple Media Services Terms and Conditions.
• Maintenance & Support: Gathr is solely responsible for providing maintenance and support services for the Application. Apple and Google have no obligation whatsoever to furnish any maintenance or support services with respect to the Application.
• Warranties: In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple or Google, and Apple or Google may refund the purchase price of the Application to you (if any). To the maximum extent permitted by applicable law, Apple and Google will have no other warranty obligation whatsoever.
• Product Claims & Legal Compliance: Gathr, not Apple or Google, is responsible for addressing any claims relating to the Application, including product liability, consumer protection, or intellectual property infringement claims. You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and you are not listed on any U.S. Government list of prohibited or restricted parties.
• Third-Party Beneficiaries: Apple and its subsidiaries are third-party beneficiaries of this Agreement. Upon your acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary.

4. Eligibility and Account Registration

To use the Application, you must be at least 13 years of age (or the age of majority in your jurisdiction). By registering an account, you represent and warrant that you meet this requirement.

You agree to provide true, accurate, current, and complete information during the registration process and to keep your account details updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately at support@gathr.gives if you suspect any unauthorized access to your account.

5. Community Standards and User Conduct

Gathr is built to foster safe, trustworthy, and collaborative communities. We have zero tolerance for harmful or abusive behavior. When using Gathr, you agree not to post, share, or engage in:

• Hate speech, discrimination, harassment, stalking, threats, or intimidation targeting individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected status;
• Sexually explicit, pornographic, violent, gory, or vulgar content;
• Defamatory, libelous, false, or purposefully misleading statements;
• Fraudulent campaigns, counterfeit appeals, pyramid schemes, or unauthorized solicitations;
• Impersonation of any person, entity, nonprofit, or community organization; or
• Violations of another person’s privacy, including publishing confidential personal details without explicit consent.

Gathr reserves the right, in its sole discretion, to monitor, review, flag, hide, or remove any content, and to suspend or permanently ban any account that violates these Community Standards.

6. User-Generated Content and License

You retain ownership of any text, images, photos, project descriptions, comments, or other materials you submit or upload to the Service (“User Content”).

By submitting User Content, you grant Gathr a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, use, reproduce, adapt, publish, display, and distribute such content as reasonably necessary to operate, maintain, promote, and improve the Service.

You represent and warrant that you own or have all necessary licenses, rights, and permissions to submit your User Content, and that your content does not violate any copyright, trademark, privacy, or proprietary right of any third party.

7. Peer Volunteering and Offline Interactions

Gathr provides tools that help members coordinate volunteer initiatives, peer assistance, skills exchange, and community projects. You acknowledge and agree that:

• Independent Interactions: Users participate in volunteer efforts, community meetups, and aid projects voluntarily and independently. Gathr is not an employer, agent, staffing service, or contractor of any volunteer or project organizer.
• Assumption of Risk: In-person volunteering and community activities inherently carry risks of personal injury, illness, or property damage. You voluntarily assume all such risks when choosing to meet, coordinate, or collaborate with others in your community.
• Verification Disclaimers: While Gathr fosters authentic community connections, we do not perform criminal background checks, drug screenings, or physical identity verifications on all users. Always exercise reasonable care, caution, and good judgment when interacting with other members.

8. Contributions, Donations, and Fiscal Sponsorship

Gathr is a project of Social Good Fund, a California nonprofit corporation and 501(c)(3) tax-exempt public charity. When contributing financially through the platform:

• Tax-Deductible Donations: Donations made directly to Gathr or its approved 501(c)(3) charitable initiatives are tax-deductible to the extent permitted by law. Peer-to-peer gifts, direct mutual aid, or purchases are generally not tax-deductible charitable contributions.
• Payment Processing: All payment transactions (including credit card donations and Lightning Network micro-giving) are processed by regulated third-party payment providers. Gathr does not store sensitive credit card or payment credentials.
• Non-Refundable Policy: Charitable donations and contributions are generally final and non-refundable, except where explicitly required by applicable law or in the case of documented unauthorized transactions.

9. Intellectual Property Rights

The Application, including its source code, architecture, design, visual layout, logos, text, graphics, icons, and software, is the exclusive property of Gathr and Social Good Fund, or our licensors, and is protected by United States and international copyright, trademark, patent, and trade secret laws. You may not use Gathr’s trademarks, trade dress, or logos without our express prior written consent.

10. Updates and Modifications to the Service

Gathr may from time to time release updates, enhancements, bug fixes, or new features for the Application. Depending on your device settings, updates may install automatically or require manual approval through your app store.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, temporarily or permanently, with or without prior notice, and without liability to you.

11. Term and Termination

This Agreement becomes effective when you download, install, access, or use the Application, and continues in effect until terminated by either you or Gathr.

You may terminate this Agreement at any time by uninstalling the Application from all your devices, ceasing all use of the Service, and requesting the deletion of your account by emailing support@gathr.gives.

Gathr may suspend or terminate your license and access to the Service immediately, without prior notice, if you breach any term of this Agreement, violate community guidelines, or engage in activity detrimental to the platform, its users, or third parties.

Upon termination, all licenses granted to you herein immediately cease, and you must immediately uninstall and discontinue all use of the Application. Sections 6, 7, 8, 9, 12, 13, 14, 15, and 16 shall survive termination.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APPLICATION AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.

GATHR, ON BEHALF OF ITSELF AND SOCIAL GOOD FUND, EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

GATHR DOES NOT WARRANT THAT THE APPLICATION WILL MEET YOUR REQUIREMENTS, OPERATE UNINTERRUPTED OR ERROR-FREE, BE COMPATIBLE WITH ANY SYSTEM, OR THAT ANY DEFECTS WILL BE CORRECTED.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GATHR, SOCIAL GOOD FUND, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, BUSINESS INTERRUPTION, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR IN CONNECTION WITH:

• YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE APPLICATION;
• ANY CONDUCT, CONTENT, OR PERFORMANCE OF ANY THIRD PARTY OR COMMUNITY MEMBER ON OR THROUGH THE SERVICE; OR
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR DATA.

IN NO EVENT SHALL GATHR’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER OR RELATING TO THIS AGREEMENT EXCEED THE GREATER OF FIFTY UNITED STATES DOLLARS ($50.00 USD) OR THE AMOUNT ACTUALLY PAID BY YOU TO GATHR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to defend, indemnify, and hold harmless Gathr, Social Good Fund, its affiliates, directors, officers, employees, volunteers, and agents from and against any claims, liabilities, damages, losses, judgments, awards, costs, and expenses (including reasonable legal fees) arising out of or resulting from:

• Your breach or alleged breach of this Agreement;
• Your User Content;
• Your misuse of the Application or Service; or
• Your violation of any law, regulation, or third-party rights during any online or offline community interaction.

15. Governing Law and Dispute Resolution

This Agreement and any dispute arising out of or related to it shall be governed by and construed in accordance with the laws of the State of California, United States, without giving effect to any choice or conflict of law provisions.

You agree that any legal suit, action, or proceeding arising out of or related to this Agreement or the Application shall be instituted exclusively in the state or federal courts located in the State of California, and you irrevocably submit to the personal jurisdiction of such courts.

16. Severability and Entire Agreement

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Gathr regarding the subject matter herein, superseding all prior or contemporaneous understandings, agreements, representations, and warranties.

17. Changes to this Agreement

We reserve the right to amend or update this Agreement at any time. When changes are made, we will update the “Last updated” date at the top of this page. In the case of material changes, we may also provide prominent notice via the Application or by email.

Your continued use of the Application following the posting of updated terms constitutes your binding acceptance of such changes.
